FCB Financial Holdings, Inc. Announces the Pricing of Its Initial Public Offering

WESTON, Fla.--()--FCB Financial Holdings, Inc. (formerly known as Bond Street Holdings, Inc.) (the "Company") (NYSE: FCB) announced the pricing of its initial public offering of 7,520,000 shares of Class A common stock at a public offering price of $22.00 per share. Of the 7,520,000 shares sold, 4,554,045 shares are being sold by the Company and 2,965,955 shares are being sold by certain selling stockholders. In addition, the Company has granted the underwriters for the offering a 30-day option to purchase up to an additional 1,128,000 shares of Class A common stock. The proceeds from the sale of shares by the Company (assuming that the underwriters’ option is not exercised) are expected to be approximately $100.2 million. The Company will not receive any proceeds from the sale of shares by the selling stockholders. The Company’s Class A common stock is expected to begin trading on the New York Stock Exchange, Inc. under the symbol "FCB" on August 1, 2014. The closing of the offering is expected to occur on August 6, 2014, subject to the satisfaction of customary closing conditions.

Deutsche Bank Securities, J.P. Morgan, BofA Merrill Lynch and UBS Investment Bank are acting as joint book running managers for the offering. Keefe, Bruyette & Woods, A Stifel Company, is acting as lead manager and Guggenheim Securities and Hovde Group are acting as co-managers for the offering.
