Helen of Troy Limited Announces Plan to Repurchase $550 Million of Shares

Will Immediately Commence Tender Offer For Up To $300 Million; Will Repurchase Additional $250 Million Over Next Three Years

EL PASO, Texas--()--Helen of Troy Limited (NASDAQ:HELE), designer, developer and worldwide marketer of brand-name houseware, healthcare/home environment and personal care consumer products, today announced that its Board of Directors has authorized the repurchase of $550 million of its outstanding common shares (“common stock” or “shares”) in keeping with its stated intention, first noted in April 2013, to return to shareholders capital not otherwise deployed for strategic acquisitions. The Company will today commence a modified "Dutch Auction" tender offer to purchase up to $300 million of its common stock, subject to certain terms and conditions, and plans to initiate a subsequent repurchase of an additional $250 million of its common stock over the next three years, at times and prices to be determined.

In total, the $550 million share repurchase plan represents approximately 28.88% of the Company’s outstanding common stock, based upon the Company’s closing price on February 7, 2014. As of February 5, 2014, Helen of Troy had approximately 32.091 million shares outstanding.

Tender Offer

The Company will today commence a modified “Dutch Auction” tender offer to repurchase up to $300 million of its shares of common stock at a price not greater than $66.50 per share nor less than $57.75 per share (the “Offer”). Helen of Troy intends to use a combination of cash on hand and borrowings under its existing revolving credit facility to pay for all shares that are purchased in the Offer and all fees and expenses applicable to the Offer. Subsequent Share Repurchase

The additional $250 million share repurchase may be purchased through a variety of methods, which may include open market purchases, privately negotiated transactions, block trades, accelerated stock repurchase transactions, or any combination of such methods. The share repurchase authorization supersedes any remaining outstanding share repurchase authorization as of the commencement of the Offer. The number of shares purchased and the timing of the purchases will depend on a number of factors, including share price, trading volume and general market conditions, as well as on working capital requirements, general business conditions, financial conditions, any applicable contractual limitations and other factors, including alternative investment opportunities. The share repurchases will be made in a manner that is designed to comply with U.S. securities laws and rules.
