Stradley Ronon Continues Growth of Corporate Practice

-- Experienced transactional partner and senior attorney add depth and breadth to growing corporate, M&A and securities practices

WASHINGTON--()--Thomas L. Hanley, former co-chair of SNR Denton’s securities and public companies practice group, and Erin Troy Clinton, a senior attorney experienced in corporate and transactional matters and nonprofit transactions, have joined Stradley Ronon’s Washington office.

Stradley Ronon’s sixth significant attorney acquisition since last January reflects a deliberate strategic initiative to attract practitioners with sophisticated transactional and related experience who can advise its growing public and private company client base.

“We continue to look for experienced practitioners who have established reputations for providing sophisticated legal services and who may be handicapped by big-firm billing rates, lawyer turnover and a focus on global expansion that is unrelated to client needs,” said Stradley Ronon Chairman William R. Sasso. “We’re confident that our strong culture, lower cost structure, streamlined staffing model and more palatable billing rates will continue to attract attorneys of Tom’s and Erin’s caliber whose clients are also seeking a firm with these very attributes.”

Hanley represents public and private companies in a variety of industries including information technology, life sciences, consulting, transportation, telecommunications and media/entertainment. He advises clients on capital-raising transactions, mergers and acquisitions, corporate governance, SEC compliance and corporate litigation. During his career he has served as the seller’s or acquirer’s counsel in M&A transactions totaling more than $11 billion and as issuer’s counsel in capital-raising transactions totaling more than $7 billion. In addition, Hanley serves as a primary liaison between public company clients and the SEC, NYSE and NASDAQ staffs concerning disclosure, governance, listing qualifications and interpretive issues.

Erin Troy Clinton represents clients in a range of corporate and transactional matters including corporate formations, corporate governance, venture financings, mergers and acquisitions, joint ventures and strategic partnerships. She also provides corporate advice for nonprofit and tax-exempt organizations including formation, registration of exemption, governance, governance disputes, fiduciary obligations, contracting, conflict-of-interest issues and financing.

Hanley received his J.D. from William & Mary Law School where he received the American Jurisprudence Award in Legal Ethics and Administrative Law. Hanley also earned his M.B.A. from the University of Michigan and a B.A. from the University of Virginia, both with distinction.

Clinton received her J.D. from Washington and Lee University School of Law and attended Harvard University’s Negotiation Institute. She earned her B.S., cum laude, from Georgetown University.

Stradley Ronon’s corporate, mergers & acquisitions and securities practice is comprised of an interdisciplinary team of 50 lawyers who represent public and private companies, closely held and family owned businesses, private equity funds, underwriters, investment bankers, and other transaction participants in complex acquisitions, dispositions, financings and recapitalizations. The group also regularly advises executive management, in-house counsel, boards of directors and board committees, and investors on stock-exchange compliance, shareholder relations, takeover defense, proxy contests/contested elections, state law fiduciary duty issues, and corporate governance and risk management issues.
