“U.S. Capital Market: Survive, Go Private and Beyond” at the 2011 Halter Financial Summit

Halter Financial Summit 2011

SHANGHAI--()--Halter Financial Group China (“HFG China”), an international financial consulting group, announced today that the Company will be hosting its annual Halter Financial Summit December 10-12, 2011, in Guangzhou, China. As part of the financial summit, HFG China is providing an in-depth conference on surviving the U.S. capital markets or going private and possibly relisting on a different exchange in the future.

Recently, many U.S.-listed Chinese companies have experienced numerous challenges in the capital markets driven primarily by a general negativity towards Chinese companies that has resulted in a depressed valuation. Problems such as accounting irregularities followed by a select few companies being delisted from major exchanges have led to a crisis of credibility that is harming the majority of good, legitimate companies. With all the negativity centered around U.S.-listed Chinese companies, many companies are reevaluating the high listing costs, regulatory burdens and increased SEC scrutiny associated with being a U.S. public company. For companies no longer interested in remaining listed in the United States, they have the option to terminate their U.S. listing by going private.

Going private is the exchange of cash for the shares of a company’s existing public shareholders, so that at the end of the transaction the company’s shareholder base will be reduced to permit the company to terminate its public company status.

The conference “U.S. Capital Market: Survive, Go Private and Beyond” will provide companies with valuable information on deciding whether to remain listed in the United States or to go private and possibly relist on another exchange where a better valuation can be achieved. A panel of experts from the banking and legal industries will discuss in-depth the pros and cons of all the options including costs and benefits of being public compared to going private, effects on the company’s balance sheet, legal responsibilities, dealing with shareholders and SEC scrutiny. They will also review the process of going private including the forms of going private, sources of financing for the transaction, required disclosures and timing to complete the process.
