Dealflow.com Releases White Paper on General Solicitation and the use of Rule 506(c) to Raise Capital; Announces New Advisory Board Members

Dealflow.com reports that from Sept. 23, 2013 (when the new SEC rules went into effect) through Jan. 31, 2014, 350 issuers filed Rule 506(c) Form Ds for financing efforts with an aggregate dollar value of $4.2 billion. Rule 506(c) filings permit issuers to use advertising to promote their investment offering. These figures exclude closed deals and filings by investment funds.
Including closed deals and investment funds, from Sept. 23, 2013 through Jan. 31, 2014, there were a total of 774 Rule 506(c) filings. The sector breakdown based on the total number of filings is as follows: 3.7% Consumer Discretionary, 5.9% Energy, 9.8% Financials, 6.7% Health Care, 12.9% Info Tech, 4.8% Materials, 23.3% Pooled Investment Funds, 13.4% Real Estate, 1.5% Telecom, and 17.8% Other.
Dealflow.com also announced the addition of two new advisory board members: Gerald Laporte, former Chief of the Office of Small Business Policy at the U.S. Securities and Exchange Commission and Shaun McCarthy, Chief Technology Officer of CreditSights, a leader in worldwide independent bond research.
