Ladder Announces Offering of $400 Million Senior Notes due 2025

NEW YORK--()--Ladder Capital Corp (“Ladder” or the “Company”) (NYSE:LADR) announced today that its subsidiaries, Ladder Capital Finance Holdings LLLP and Ladder Capital Finance Corporation (collectively, the “Issuers”), intend to offer $400 million in aggregate principal amount of senior notes due 2025 (the “Senior Notes”).

The Company intends to use the net proceeds of the offering to repay existing secured debt, to pay offering related expenses and for general corporate purposes.

The Senior Notes will be offered to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act. The Senior Notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
