CAMARILLO, Calif.--(BUSINESS WIRE)--Salem Media Group, Inc. (Nasdaq: SALM) today announced that it has closed its previously announced private offering of $255 million aggregate principal amount of senior secured notes due 2024 (the “Notes”).
Together with borrowings under a new senior secured asset-based revolving credit facility that Salem entered into at the time of the closing of the Notes offering (the “ABL Facility”), Salem used the net proceeds of the offering of the Notes to repay outstanding borrowings, including accrued and unpaid interest, under its previously existing senior credit facilities and to pay fees and expenses incurred in connection with the Notes offering and the ABL Facility.
The Notes and the related guarantees were offered and sold only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to persons other than “U.S. persons” in reliance on Regulation S under the Securities Act.
