(NYSE:MCRN) (the “Company”), a leading industrial technology company serving the plastic processing industry, today announced the pricing of a public offering of 12,000,000 shares of its common stock by certain selling stockholders at a public offering price of $17.20 per share. In addition, the selling stockholders have granted the underwriters of the secondary offering a 30-day option to purchase up to an additional 1,800,000 shares of the Company’s common stock. The offering is expected to close on May 9, 2017, subject to customary closing conditions.
The Company is not selling any shares of common stock in the offering. The Company will not receive any proceeds from the sale of common stock by the selling stockholders.
Credit Suisse, Barclays, and Baird, are acting as lead book-running managers for the offering. BofA Merrill Lynch, Goldman Sachs & Co. LLC and J.P. Morgan are acting as book-running managers for the offering. KeyBanc Capital Markets and William Blair are acting as co-managers for the offering.
