Amended Registration Statement Filed for Proposed Combination of CF Industries with OCI’s European, North American and Global Distribution Businesses

DEERFIELD, Ill.--()--CF Industries Holdings, Inc. (NYSE: CF) today announced the filing with the U.S. Securities and Exchange Commission of an amended registration statement on Form S-4 containing a preliminary proxy statement/shareholder circular/prospectus in connection with the proposed combination of CF and the European, North American and Global Distribution businesses of OCI N.V. (Euronext: OCI). While this registration statement has not yet become effective and the information contained therein is subject to change, it provides important information about CF, OCI and the proposed combination.

The amended registration statement containing the preliminary proxy statement/shareholders circular/prospectus was filed by the new holding company under which the businesses will combine and is available through the SEC's website at www.sec.gov under the company name “CF B.V.”

The proposed combination remains subject to approval by the shareholders of CF and OCI, as well as certain other regulatory approvals and customary closing conditions.
