Alchemy Global Engaged by MuscleSound to Raise Capital for the First Real-Time Glycogen Testing SaaS Software

Offering Available Under Title II of The Jobs Act

DENVER--()--MuscleSound, the creator of a patented software technology and methodology to detect and prevent soft-tissue muscle injuries and improve athletic performance, today announced that it has initiated a $5mm private placement offering solely to accredited investors (the “Offering”) under Rule 506(c) of Regulation D promulgated by the SEC under the Securities Act.

The company will use the proceeds from the Offering for global expansion including the costs associated with new hires, growth in key sports verticals and expansion into the healthcare marketplace—expanding research in the importance of glycogen in preventative care and recovery management.

By measuring glycogen, the body’s primary energy source during periods of high-energy exertion, MuscleSound enables athletes and teams to monitor and iterate nutritional needs over time. After taking an ultrasound scan of a muscle, MuscleSound sends the image to its cloud-based software, which generates results in about 15 seconds. Team leaders gain insight into the effects of nutrition, injury prevention, recovery times and performance levels. Over the last calendar year, MuscleSound has continued to grow: partnering with 10 NCAA universities, most recently signing on Oregon State, the University of Colorado and the University of South Carolina. While general solicitation of Rule 506(c) offerings is now permitted, purchasers in a Rule 506(c) offering must be "accredited investors." The SEC defines the term "accredited investor" in Rule 501(a).
