Good Times Restaurants Inc. Announces Pricing of Its Upsized Common Stock Offering

LAKEWOOD, Colo.--()--Good Times Restaurants Inc. (NASDAQ: GTIM), owner of Good Times Burgers & Frozen Custard, an upscale quick-service restaurant chain focused on fresh, high quality, all natural products located primarily along the front range of Colorado and a licensee of Bad Daddy’s Burger Bar, a full service, “small box” better burger casual dining chain, announced today that it has priced a registered public offering of 2,420,705 shares of its common stock, upsized from the original share offering of 2,375,000 shares of common stock, at $8.15 per share, for net proceeds of approximately $17.9 million after underwriting discounts and estimated offering expenses (or approximately $20.7 million if the underwriters’ option to purchase an additional 363,105 shares is exercised in full). The offering is expected to close on May 7, 2015, subject to customary closing conditions. The Company plans to use the proceeds received from the offering together with cash on hand for the acquisition of Bad Daddy’s International, LLC and its Bad Daddy’s Burger Bar restaurants that is expected to close immediately following the closing of this offering and to fund additional development of Good Times Burgers & Frozen Custard restaurants and Bad Daddy’s Burger Bar restaurants.

Janney Montgomery Scott LLC and Stephens Inc. are acting as joint book-running managers and Dougherty & Company is acting as lead manager for the offering.
