In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges that: a) the Company misrepresented or failed to disclose that its main web properties were tied to malware, viruses and browser hijackers that attached to computers; b) the Company’s search traffic was derived from malware, illicit traffic, pirated content and/or click fraud, including involuntary click, artificial clicks and illicit clicks; c) the Company’s search volumes were higher due to a rise in illicit search traffic; and d) the relationship with Google and Blucora was compromised and Google was unlikely to renew its contract with the same terms as its prior agreement. When the truth was revealed to the public Blucora’s shares plummeted.
