(“Enterprise GP” or the “Company”) (NYSE:EPE) related to the Company’s agreement to merge with a subsidiary of Enterprise Products Partners L.P. (“EPD”). The proposed transaction is valued at approximately $8 billion.

Under the terms of the definitive agreement entered into by the parties, Enterprise GP unitholders would receive 1.5 EPD common units in exchange for each Enterprise GP limited partner unit they own at closing. Certain affiliates of privately held Enterprise Products Company (“EPCO”) that own approximately 76 percent of Enterprise GP’s outstanding units have agreed to vote their Enterprise GP units in favor of the merger. In addition, affiliates of EPCO will continue to own the general partner of the combined entity. Completion of the merger is expected to occur during fourth quarter 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Enterprise GP’s board of directors.
