NEW YORK--(BUSINESS WIRE)--Bull & Lifshitz, LLP announces an investigation into possible breaches of fiduciary duty in connection with the proposed acquisition of Inergy Holdings L.P. (NYSE: NRGP - News) (referred to as "NRGP" or the “Company”) by Inergy, L.P. (NYSE: NRGY - News) (referred to as "NRGY") in a deal that includes the issuance of $2 billion in NRGY common units.

Under the proposed agreement, NRGP unitholders would receive 0.77 NRGY limited partnership units in exchange for each NRGP limited partnership unit owned at closing, an approximate value of $33 per NRGP unit. Upon closing of the merger, the former owners of NRGP will own approximately 43.8% of the combined entity.

Certain members of management that control over 50% of NRGP’s limited partnership units have committed to vote in favor of the merger.

The boards of directors of both the managing general partner of NRGY and the general partner of NRGP unanimously approved the transaction.
