Circumstances giving rise to the notifications

The Company announces that awards were granted to the executive directors under the Company’s Long Term Incentive Plan 2026 (‘LTIP’) on 9 July 2026 in respect of A ordinary shares, as set out below:

The awards are in the form of nil-cost options and no monetary consideration was paid for the awards. They are expected to vest and become exercisable on 9 July 2029.

The performance-based awards are subject to the satisfaction of the following performance conditions:

• one-half on the Company’s adjusted earnings per share;
• one-quarter on like-for-like sales growth; and
• one-quarter on the Company’s adjusted operating margin.

These performance conditions will be measured against the financial performance of the Company for the year ending on or around 31 March 2029. The remuneration committee believes that the selection of the above performance conditions will ensure that the vesting outcome is fully aligned with the shareholder experience. Further information about the plan is provided on pages 94 to 103 of the Company’s 2026 Annual Report.

The performance-based awards are equivalent to 100% of base salary for the CEO and the CFO and 75% of base salary for the CPO; the time-based awards are equivalent to 50% of base salary. The awards will vest and become exercisable subject to continued employment with the Company and, in the case of the performance-based awards, the extent to which performance conditions are met.
