Eurofins Announces the Success of Its Tender Offers on Its Existing Hybrid Bonds

Eurofins Scientific (Paris:ERF) (EUFI.PA, rated Baa3 by Moody’s and BBB- by Fitch, “Eurofins”), a global leader in bioanalytical testing, announces today the results of the tender offers (the “Tender Offers”) to repurchase its €300m Deeply Subordinated Fixed to Floating rate bonds (ISIN: XS2051471105) issued on 11 September 2019 with a first call date in August 2022 (the "2022 Hybrid Bonds") and its €300m Deeply Subordinated Fixed to Floating rate bonds (ISIN: XS1224953882) issued on 29 April 2015 with a first call date in April 2023 (the "2023 Hybrid Bonds" and together with the 2022 Hybrid Bonds, the "Existing Hybrid Bonds").

At the Tender Offers’ expiration deadline (27 June 2022, 5pm CET), Eurofins had received valid tenders of € 307,661,000 in aggregate principal amount of the Existing Hybrid Bonds.

Eurofins has decided to accept for purchase of its Existing Hybrid Bonds respectively (all amounts in EUR):

Settlement of the purchase is expected to take place on 30 June 2022 (the “Settlement Date”). Following the Settlement Date, Eurofins intends to redeem in full the remaining 2022 Hybrid Bonds by exercising its call option.
