HALIFAX, Nova Scotia--(BUSINESS WIRE)--Emera Incorporated (“Emera” or the “Company”) (TSX: EMA) announced today that Emera US Finance LP (the “Issuer”), a limited partnership wholly owned indirectly by Emera, has completed the sale of US$750,000,000 aggregate principal amount of United States dollar denominated senior, unsecured notes (the “U.S. Notes”), fully and unconditionally guaranteed by Emera and Emera US Holdings Inc., (“EUSHI and together with Emera, the “Guarantors”) a directly and indirectly wholly-owned subsidiary of Emera. J.P. Morgan Securities LLC, MUFG Securities Americas Inc., RBC Capital Markets, LLC, Scotia Capital (USA) Inc., Morgan Stanley & Co. LLC, and Wells Fargo Securities, LLC acted as joint book-running managers in connection with the U.S. Notes offering BMO Capital Markets Corp., BofA Securities, Inc., CIBC World Markets Corp., TD Securities (USA) LLC, Truist Securities, Inc., Loop Capital Markets LLC and Samuel A. Ramirez & Company, Inc. acted as co-managers. Use of Proceeds
Emera intends to use the net proceeds from any offering of U.S. Notes to finance the repayment of the US$750 million 2.700% 2016 exchange notes which mature on June 15, 2021 (the “2016 Notes”). If certain of the net proceeds from the offering of U.S. Notes are not otherwise required to repay the 2016 Notes, Emera intends to use such net proceeds for general corporate purposes.
