STAMFORD, Conn.--(BUSINESS WIRE)--Gartner, Inc. (NYSE:IT) (“Gartner,” “we” or “our”) announced the pricing of its upsized offering of $800 million 4.500% Senior Notes due 2028 (the “Notes”), which represents an increase of $300 million of Notes from the previously announced amount. Subject to customary closing conditions, Gartner anticipates that the offering of the Notes will be completed on June 22, 2020 and intends to use the net proceeds from the offering of the Notes, together with cash on hand, to (i) repay a portion of the outstanding borrowings under the term loan A facility, (ii) repay all outstanding borrowings under the existing revolving credit facility, each under Gartner’s senior secured credit facility, and (iii) pay related fees and expenses. There can be no assurance that the proposed offering of the Notes will be completed.
