NAUGATUCK, Conn.--(BUSINESS WIRE)--The Eastern Company (NASDAQ:EML) (the “Company”) today announced that its 2020 Annual Meeting of Shareholders (the “Annual Meeting”) will be held in a virtual meeting format only. Shareholders will not have the option to attend the Annual Meeting in-person, but will have the same opportunities to participate in the virtual meeting format as they would at an in-person meeting. This change was instituted in accordance with Executive Order No. 7I issued by the Governor of the State of Connecticut, which temporarily suspends the statutory requirement for in-person shareholder meetings for Connecticut corporations in light of the COVID-19 pandemic, and to support the health and well-being of the Company’s employees, shareholders, and the community. As previously announced, the Annual Meeting will be held on Wednesday, April 29, 2020 at 11:00 a.m. Eastern Daylight Time.
As described in the proxy materials for the Annual Meeting previously distributed, shareholders of record as of the close of business on March 2, 2020, the record date, are entitled to participate in the Annual Meeting. To be admitted to the Annual Meeting at www.issuerdirect.com/virtual-event/EML, shareholders must enter the first 13 digits of the control number found on their proxy card, voting instruction form or notice that they previously received.
