In 2010, a consent decree was reached with the federal government in connection with the merger of Live Nation and Ticketmaster. Under the 2010 consent decree with the U.S. Department of Justice (“DOJ”), Ticketmaster was required to license its primary software to a competitor and was barred from retaliating against venue owners who use a competing ticket service.
Scott+Scott is investigating whether Live Nation’s board or directors or senior management caused Live Nation to violate the 2010 consent decree, in breach of their fiduciary duties to Live Nation, and whether Live Nation has suffered damages as a result.
On December 13, 2019, Reuters reported that the DOJ was preparing to take action against Live Nation for violations of the 2010 consent decree and that the concert promoter may have strong-armed concert venues into using its dominant Ticketmaster subsidiary. Reuters further reported that the DOJ now plans to extend the consent decree, currently set to expire next year, by several years to prohibit Live Nation’s coercive conduct.
