NEW YORK--(BUSINESS WIRE)--TPG Specialty Lending, Inc. (NYSE: TSLX) (“TSLX” or the “Company”) announced today that it has launched a public offering of its 4.50% Convertible Notes due 2022 (the “Notes”). The Notes will have identical terms, be fungible with and be a part of a single series with the outstanding $115 million aggregate principal amount of the Company’s 4.50% Convertible Notes due 2022 issued in February 2017 in a private offering. TSLX also plans to grant the underwriters for the offering an option to purchase additional Notes to cover over-allotments, if any. The offering will be made pursuant to a registration statement, which has been filed with, and declared effective by, the Securities and Exchange Commission (the “SEC”). The completion of the proposed offering depends upon several factors, including market and other conditions.
The Notes are unsecured, and bear interest at a rate of 4.50% per year, payable semiannually. In certain circumstances, the Notes will be convertible into cash, shares of TSLX’s common stock or a combination of cash and shares of TSLX’s common stock, at TSLX’s election. TSLX will not have the right to redeem the Notes prior to maturity. The Notes will mature on August 1, 2022, unless repurchased or converted in accordance with their terms prior to such date.
TSLX expects to use the net proceeds of the offering to pay down outstanding debt under its revolving credit facility. However, through re-borrowing under the revolving credit facility, the Company intends to make new investments in accordance with its investment objectives and strategies outlined in the preliminary prospectus supplement and the accompanying prospectus described below in greater detail.
J.P. Morgan and Goldman Sachs & Co. LLC are acting as joint book-running managers for this offering.
