PALO ALTO, Calif.--(BUSINESS WIRE)--Hercules Capital, Inc. (NYSE: HTGC) (“Hercules” or the “Company”), today announced that it has priced an underwritten public offering of $75.0 million in aggregate principal amount of 5.25% notes due 2025 (the “Notes”). The Notes will mature on April 30, 2025, and may be redeemed in whole or in part at any time or from time to time at the Company’s option on or after April 30, 2021. The Notes will bear an interest rate of 5.25% per year payable quarterly on January 30, April 30, July 30, and October 30, of each year, beginning July 30, 2018. The Company intends to apply to list the Notes on the New York Stock Exchange under the trading symbol “HCXZ.” The closing of the transaction is subject to customary closing conditions and the Notes are expected to be delivered and paid for on April 26, 2018. The Company has also granted the underwriters a 30-day option to purchase up to an additional $11,250,000 in aggregate principal amount of the Notes to cover over-allotments, if any.
The Company expects to use the net proceeds from this offering (i) to fund investments in debt and equity securities in accordance with its investment objective, (ii) to make acquisitions, (iii) to retire certain debt obligations (which may include the 6.25% Notes due 2024), and (iv) for other general corporate purposes.
