SAN DIEGO--(BUSINESS WIRE)--Manhattan Street Capital Inc. (MSC) (www.manhattanstreetcapital.com), whose FundAthena division was the first online platform to enter the Regulation A+ field, today announced their new ManhattanStreet-ICO™ Program which adapts Initial Coin Offerings to utilize Reg A+ for U.S. entrepreneurs.
On the heels of the SEC’s recent announcement confirming that many ICOs are security offerings that must therefore comply with existing SEC regulations, MSC’s new program provides a practical system for U.S. entrepreneurs to conduct Initial Coin Offerings via Regulation A+, in order to comply with SEC securities rules as they have been presented thus far. The burgeoning ICO sector has raised approximately $2B thus far in 2017 worldwide.
“Regulation A+ is a suitable way for U.S. companies to make Initial Coin Offerings that, with care, can be compliant with SEC securities regulations,” said Rod Turner, Manhattan Street Capital CEO.
“ICOs may be new, but ICOs that are securities must still comply with the same old securities regulations,” said Sara Hanks, CEO of CrowdCheck, which provides compliance services for online offerings of securities, and managing partner of KHLK LLP, CrowdCheck’s supporting law firm.
Effective immediately, MSC supports Regulation A+ Tier 1 and Tier 2 ICOs as well as Reg D ICOs, Turner confirmed, noting that the Reg A+ feature allowing companies to accept investors of all wealth levels worldwide resonates with the crowd-based funding that is a key appeal of ICOs.
Turner also announced MSC will now accept payments via Bitcoin, Ether and other cryptocurrencies for investments in conventional Regulation A+ and Reg D offerings. As addressed in new FAQs and Blog Posts, MSC anticipates that conventional companies making Reg A+ and Reg D offerings will convert digital currency investment payments into U.S. dollars immediately upon receipt to avoid currency value fluctuations.
“Bitcoin, Ether and other cryptocurrencies offer a convenient method for the burgeoning 300 million Chinese middle class to invest in innovative U.S. companies, along with investors worldwide that appreciate access to U.S. companies,” Turner noted. Further information about these developments is available from Turner’s ongoing Forbes.com columns and from MSC’s regularly updated Blog.
