OTTAWA, Ontario--(BUSINESS WIRE)--Espial Group Inc. ("Espial" or the "Company") (TSX:ESP) reports the results of its Annual General and Special Meeting of Shareholders (the “Meeting”) held on June 13 , 2017 in Ottawa, Ontario.
A total of 23,529,103 votes were cast representing 64.45% of the issued and outstanding common shares as of the record date for the Meeting. All of the proposed candidates were duly elected as directors by shareholders present or represented by proxy.
The election of each director nominee was as follows:
Shareholders voted 99.97% in favour of appointing KPMG LLP as auditors and authorizing the directors to fix the auditor remuneration, 99.70% in favour of approving the amendments to the Company’s Shareholder Rights Plan, 77.11% in favour of the ratification of unallocated entitlements under the Company’s Stock Option Plan and 99.65% in favour of approving the Company’s By-Law No. 1A.
The Company wishes to welcome Brian McLaughlin who was appointed as a seventh director of the Board after the Meeting. Brian is a Partner at Hydra Capital Partners Inc., a Toronto based investment firm that provides capital markets expertise and capital to public and private companies. Brian has been in the investment business for 30 years and has been involved in all aspects of the capital markets, with particular emphasis on small and mid-capitalization companies. He has held leadership roles at several firms including Gordon Capital and Raymond James Securities where he was a Managing Director as well as being a Director and Partner at Cormark Securities.
The Company also wishes to welcome Aamir Hussain, who was newly elected to the Board of Directors at today’s Meeting. Aamir is the Executive Vice President and Chief Technology and Information Officer for CenturyLink, a global communications, hosting, cloud and IT services company that provides broadband, voice, video, data and managed services to millions of customers. Prior to CenturyLink, Aamir was the Managing Director & Chief Technology Officer of Liberty Global in Europe, one of the largest cable companies in the world serving 48 million RGUs, where he led the technology and network organizations across 13 countries in Europe spanning voice, video, broadband and wireless. Aamir has also held senior executive positions at Covad Communications, AT&T, Qwest and Telus.
