SAN FRANCISCO--(BUSINESS WIRE)--Levi Strauss & Co. announced today the pricing of €475 million, approximately US$501 million, of its 3⅜% senior notes due 2027 in a private placement conducted pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. The sale of the notes is expected to close on February 28, 2017.
The company intends to use the net proceeds from the offering, together with cash on hand, to purchase its 6⅞% senior notes due 2022 and to pay fees and expenses related to the offering and the purchase of such outstanding notes.
The notes have not been registered under the Securities Act of 1933, as amended, or any state securities laws, and unless so registered, may not be offered or sold in the United States, except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
