(the “Company”) (NYSE:RYAM) today announced the commencement of an underwritten public offering (the “Offering”) of 1,250,000 shares of the Company’s Series A Mandatory Convertible Preferred Stock (the “Mandatory Convertible Preferred Stock”). The underwriters of the Offering have a 30-day option to purchase a maximum of 187,500 additional shares of Mandatory Convertible Preferred Stock to cover over-allotments. The Offering is subject to market and other conditions.
The Company intends to use the net proceeds of the Offering for general corporate purposes, which may include but are not limited to investments in or the financing of research and development for new products, capital expenditures for the existing business, possible acquisitions and the reduction of indebtedness.
