Amira is engaged in processing, distributing and marketing packaged specialty rice and other food products. The Complaint alleges that the defendants made false and/or misleading statements and failed to disclose material adverse facts about Amira’s business, operations, and financial performance and prospects. Specifically, defendants misrepresented or failed to disclose related-party transactions and overstated the Company’s revenues. As a result, the Company’s financial statements were false and misleading during the Class Period.
On February 9, 2015, the analyst firm Prescience Point Research Group issued a report highlighting the Company’s overstatement of revenues and the related-party transactions. Among other things, the report alleges that Indian government reports on Basmati rice exports indicate that Amira overstated its India-produced Basmati rice revenue by more than 116% in 2014. The report also alleges that Amira engaged in material, undisclosed related-party transactions, some of which benefited the Company’s chief executive officer and his family at the expense of shareholders. Following this news, on February 9, 2015, Amira stock declined more than 25%, or $3.45 per share, to a closing price of $9.95 per share on unusually heavy volume.
