DENVER--(BUSINESS WIRE)--Join the Rocky Mountain Chapter of the National Investor Relations Institute (NIRI) for November’s feature presentation: “Corporate Governance & Proxy Panel.”
NIRI Rocky Mountain will welcome three distinguished speakers, Jason Day, Partner at Perkins Coie LLP, Frederick Marquardt, Senior Managing Director at Morrow & Co. LLC, and Ronald Schneider, Director of Corporate Governance Services at RR Donnelley, for a panel discussion covering multiple issues related to the upcoming proxy season. Panelists will address trends in proxy statement litigation, proposed SEC disclosure rules, and how to establish effective shareholder engagement, including with activist shareholders.

Jason Day counsels public companies on issues related to the Securities Exchange Act of 1934, NYSE and NASDAQ compliance and disclosure. He also advises public company executives and boards on matters regarding proxy statements, executive compensation, corporate governance, Sarbanes Oxley Act, Dodd-Frank Act, Regulation FD and other areas of SEC compliance. Day was named “Colorado Lawyer of the Year” by Law Week Colorado in 2013. He is a graduate of the George Washington University Law School.
Frederick Marquardt, has represented over 300 clients, both domestic and foreign, on proxy solicitation and corporate governance issues. A member of the International Corporate Governance Network (ICGN) and the Society of Corporate Secretaries and Governance Professionals, Marquardt frequently gives presentations to law firms, investment banks and professional organizations on current topics in proxy solicitation and corporate governance. Marquardt is a graduate of St. John’s University Graduate School of Business Administration.
Ronald Schneider has over 35 years’ experience with proxy solicitation, investor relations, corporate governance, investor activism and M&A. He serves as a frequent speaker at industry events, as guest lecturer at New York University, and he has authored numerous articles and white papers. Schneider has advised public companies of all sizes and industries facing investor activism as well as challenging and sensitive proxy solicitations involving corporate governance, compensation and control issues. Schneider is a graduate of Princeton University.
