Regarding Broker Voting:
In response to suggestions that certain shareholder votes regarding director elections be excluded from the foregoing count, the company said: “Under stock exchange rules, if shareholders who hold their shares with a broker do not tell the broker how to vote the shares, the broker can vote on the shareholders’ behalf. While there have been proposals to change this system, the SEC has not approved any rule changes. All votes at the company’s shareholders’ meeting were validly cast and will be honored.”
