In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges that: a) the Company misrepresented or failed to disclose that its main web properties were tied to malware, viruses and browser hijackers that attached to computers; b) the Company’s search traffic was derived from malware, illicit traffic, pirated content and/or click fraud, including involuntary click, artificial clicks and illicit clicks; c) the Company’s search volumes were higher due to a rise in illicit search traffic; and d) the relationship with Google and Blucora was compromised and Google was unlikely to renew its contract with the same terms as its prior agreement.
