Ellington Financial LLC Closes Offering of Senior Notes

OLD GREENWICH, Conn.--()--Ellington Financial LLC (NYSE:EFC) ("Ellington Financial" or the "Company") closed today its private placement to eligible purchasers of $86 million in aggregate principal amount of 5.25% senior unsecured notes due September 2022 at 100% of par.

The Company intends to use the net proceeds from the offering to acquire its targeted assets. The Company may also use the net proceeds of the offering for working capital and general corporate purposes.

Sandler O’Neill + Partners, L.P. served as the sole initial purchaser for the offering.

The notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, the securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The notes are expected to be eligible for trading by qualified institutional buyers under Rule 144A, by institutional accredited investors under Regulation D and outside the United States pursuant to Regulation S.
