HOUSTON--(BUSINESS WIRE)--USD Partners LP (NYSE: USDP) (the “Partnership”) announced today that it has priced its previously announced underwritten public offering of common units representing limited partner interests in the Partnership (the “Common Units”). The Partnership agreed to sell 3,000,000 Common Units at a public offering price of $11.60 per Common Unit (the “Offering”). Gross proceeds to the Partnership from this Offering are $34,800,000 before underwriter discounts and commissions and other expenses. In connection with this Offering, the Partnership has granted the underwriter for the Offering a 30-day option to purchase up to an additional 450,000 Common Units.
Net proceeds from the Offering (including any proceeds from the exercise of the underwriter’s option to purchase additional Common Units) will be used by the Partnership for general partnership purposes, including to repay outstanding indebtedness incurred under its revolving credit facility, a portion of which was used to fund the purchase price for the acquisition of a crude oil terminal in Stroud, Oklahoma. Amounts repaid under the revolving credit facility may be re-borrowed to fund future acquisitions, expansion capital expenditures and for general partnership purposes.
