Shopify Announces Closing of Underwriters' Over-Allotment Option in Connection with Offering of Class A Subordinate Voting Shares

OTTAWA, Ontario--()--Shopify Inc. (NYSE:SHOP)(TSX:SHOP) (“Shopify”) today announced that, in connection with its recent public offering of 5,500,000 Class A subordinate voting shares completed on May 24, 2017 (the “Offering“), the underwriters to the Offering exercised their option (the “Over-Allotment Option”) in full to purchase an additional 825,000 Class A subordinate voting shares. The sale of the additional Class A subordinate voting shares pursuant to the Over-Allotment Option was completed today, and brings the aggregate gross proceeds from the Offering to US$575,575,000.

Morgan Stanley and Credit Suisse acted as bookrunners and CIBC Capital Markets acted as co-manager in the Offering.
