FirstCash Announces Pricing Of $300,000,000 Senior Notes Due 2024

FORT WORTH, Texas--()--FirstCash, Inc. (NYSE: FCFS) (the “Company”) announced today the pricing of $300,000,000 in aggregate principal amount of senior notes due 2024 (the “Notes”). The Notes will pay interest semi-annually at a rate of 5.375% per annum payable on June 1 and December 1 of each year beginning on December 1, 2017. The Notes will be unsecured senior obligations of the Company. The offering of the Notes is expected to close on May 30, 2017, subject to the satisfaction of customary closing conditions.

The Company intends to use the net proceeds from the offering to repurchase, pursuant to the Company’s previously announced tender offer for, or otherwise redeem, its outstanding 6.75% senior notes due 2021, to repurchase shares of its common stock, to pay related fees and expenses and for other general corporate purposes.

The Notes are being offered in a private placement, solely to persons reasonably believed to be qualified institutional buyers in reliance on the exemption from registration provided by Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), or outside the United States to persons other than “U.S. persons” in reliance on Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
