ALISO VIEJO, Calif.--(BUSINESS WIRE)--The New Home Company Inc. (NYSE: NWHM) (the “Company”) today announced that it has priced a private tack-on offering of $75 million in aggregate principal amount of 7.250% senior notes due 2022 (the “2022 notes”). The 2022 notes will be issued at an offering price of 102.750% of their face amount (plus accrued interest since March 17, 2017), which represents a yield of 6.438%. The Company expects to close this offering on May 4, 2017, subject to the satisfaction of customary closing conditions.
The Company intends to use the net proceeds from this offering for working capital, land acquisition and general corporate purposes.
The 2022 notes will be offered and sold to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States in compliance with Regulation S under the Securities Act. The 2022 notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
