Keysight Technologies Announces Pricing of Public Offering of Senior Unsecured Notes in Connection with Pending Acquisition of Ixia

SANTA ROSA, Calif.--()--Keysight Technologies, Inc. (NYSE: KEYS) (“Keysight”) announced today that it has priced its registered public offering of U.S. $700 million aggregate principal amount of its senior unsecured fixed rate notes (the “Offering”). The notes will not be guaranteed by any of Keysight’s subsidiaries and are being issued at a price equal to 99.873 percent of their face value, with yield to maturity of 4.616 percent. The Offering is expected to close on April 6, 2017, subject to customary closing conditions.

Keysight intends to use the net proceeds from the Offering, together with the net proceeds from its recent public offering of its common shares (the “Equity Financing”), to finance in part the consideration for its previously announced acquisition (the “Acquisition”) of Ixia (“Ixia”) and certain related transactions and financing expenses. In the event that Keysight is unable to obtain sufficient financing for the Acquisition through this Offering and/or the Equity Financing prior to the closing of the Acquisition, it has obtained committed financing in the form of a senior unsecured bridge loan commitment.

The Offering is not contingent upon the consummation of the Acquisition or any Equity Financing. However, if for any reason the Acquisition does not close on or prior to Dec. 31, 2017, or if prior to such date, the merger agreement is terminated, Keysight will be obligated to redeem all of the notes on a special mandatory redemption date at a redemption price equal to 101 percent of the aggregate principal amount of the notes.

Goldman, Sachs & Co., BNP Paribas, Barclays and Credit Suisse are the joint lead book-running managers for the Offering. BofA Merrill Lynch, Citigroup and Wells Fargo Securities are also book-running managers for the Offering.
