BURLINGTON, Mass.--(BUSINESS WIRE)--Everbridge, Inc. (NASDAQ: EVBG) today announced that it has filed a registration statement on Form S-1 with the Securities and Exchange Commission for a proposed underwritten public offering of common stock. The proposed offering is expected to be predominantly from existing shareholders and be approximately $50 million. The offering is subject to market and other conditions, including the effectiveness of the registration statement filed under the Securities Act of 1933, as amended. Everbridge will not receive any proceeds from the sale of shares sold by the selling stockholders.
Everbridge intends to use proceeds from the offering for general corporate purposes, including working capital and capital expenditures.
Credit Suisse and BofA Merrill Lynch will act as joint book-running managers for the proposed offering. Stifel, Pacific Crest Securities, a division of KeyBanc Capital Markets, Canaccord Genuity, Raymond James, Needham & Company, and William Blair will act as co-managers.
