SAN FRANCISCO--(BUSINESS WIRE)--First Republic Bank (“First Republic”) (NYSE:FRC), a leading private bank and wealth management company, today announced the pricing of $400,000,000 in aggregate principal amount of its Subordinated Notes due 2047. First Republic will pay interest on the Subordinated Notes semi-annually in arrears on February 13 and August 13 of each year, beginning on August 13, 2017. The Subordinated Notes will bear interest at a rate of 4.625% per annum and, unless previously redeemed, will mature on February 13, 2047. The offering is expected to close on or about February 13, 2017, subject to the satisfaction of customary closing conditions.
First Republic expects to use the net proceeds from the offering for general corporate purposes, which may include, among other things, funding loans or purchasing investment securities for its portfolio. First Republic intends for the Subordinated Notes to qualify as tier 2 capital for bank regulatory purposes.
