Vivint Completes Senior Secured Notes Offering

PROVO, Utah--()--APX Group Holdings, Inc. (the “Company”) announced that its wholly owned subsidiary, APX Group, Inc. (the “Issuer”), completed its offering of $300,000,000 aggregate principal amount of its 7.875% Senior Secured Notes due 2022 (the “Notes”) in a private placement. The Notes constitute a further issuance of the $600 million aggregate principal amount of 7.875% senior notes due 2022 that were issued in May 2016 and August 2016. The Issuer intends to use the net proceeds from the Notes offering to redeem $300 million aggregate principal amount of the Issuer’s outstanding 6.375% Senior Secured Notes due 2019 (the “2019 Notes”) and pay the related redemption premium, and to pay all fees and expenses related thereto and to use remaining proceeds for general corporate purposes.

The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”) or any state securities laws. The Notes may not be offered or sold within the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes were offered, by the initial purchasers, only to persons reasonably believed to be “qualified institutional buyers” in reliance on the exemption from registration provided by Rule 144A under the Securities Act and to certain non-U.S. persons in offshore transactions in reliance on Regulation S.
