ANDOVER, Mass.--(BUSINESS WIRE)--Omtool™, Ltd. (OMTL.PK) announced today that it has entered into an agreement to be acquired in an all-cash transaction. The transaction was unanimously approved by the Company's board of directors, acting on the unanimous recommendation of a committee of independent directors. Completion of the transaction is subject to customary closing conditions, including approval of the Company's stockholders. The holders of a majority of the outstanding shares of the Company have entered into voting agreements pursuant to which they have agreed to vote their shares to approve the transaction.
