Cincinnati Bell Inc. Consummates Sale of Common Units of Limited Partnership Interests in CyrusOne LP

CINCINNATI--()--Cincinnati Bell Inc. (NYSE:CBB) (“Cincinnati Bell”) announced today that its subsidiary has consummated the sale to CyrusOne Inc. (“CyrusOne”) of 5,995,000 operating partnership units (including 1,695,000 operating partnership units sold because the underwriters exercised their option described below) in CyrusOne’s operating partnership, CyrusOne LP, for $28.41 per operating partnership unit (the “OP Unit Sale”). CyrusOne announced on June 26, 2015 that it had closed the public offering of 12,995,000 shares of its common stock, which included 1,695,000 shares of common stock sold pursuant to the option granted to the underwriters by CyrusOne, a portion of the net proceeds of which were used to acquire operating partnership units from a subsidiary of Cincinnati Bell.

On July 15, 2015, Cincinnati Bell will receive a distribution on its operating partnership units of $0.315 per unit. Accordingly, the purchase agreement governing the OP Units Sale provides that the purchase price per unit is equal to the net proceeds per share received by CyrusOne in its public offering of common stock less the $0.315 per unit distribution to be paid to Cincinnati Bell with respect to the operating partnership units sold in the OP Units Sale.

As a result of the OP Units Sale and of CyrusOne LP’s issuance of operating partnership units to CyrusOne in exchange for the remaining net proceeds from CyrusOne’s public offering, Cincinnati Bell effectively owns approximately 11.3% of CyrusOne through its interests in the outstanding shares of common stock of CyrusOne and its interests in the common units of limited partnership interest of CyrusOne LP, which are exchangeable into shares of common stock of CyrusOne.
