According to the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants made false and/or misleading statements and/or failed to disclose that: (a) its New Drug Application filing would be for a positive early stage breast cancer indication, rather than the previously announced metastatic breast cancer; (b) Puma Biotechnology would need to submit additional safety data from preclinical carcinogenicity studies with its New Drug Application filing, which it did not have; (c) the additional studies required would push the timelines for filing the New Drug Application; and (d) Puma Biotechnology overstated results from its Phase III ExteNET Trial.
