WALTHAM, Mass.--(BUSINESS WIRE)--Global Partners LP (NYSE:GLP) (“Global” or the “Partnership”) today announced that it has priced its previously announced private offering of $300 million in the aggregate principal amount of 7.000% senior unsecured notes due 2023 (the “Senior Notes”). Global intends to use the net proceeds from the offering to repay a portion of the borrowings outstanding under its revolving credit facility. The Senior Notes will be guaranteed by certain subsidiaries of Global. The sale of the Senior Notes is expected to be completed on or about June 4, 2015, subject to customary closing conditions. The Senior Notes will be issued at par.
The Senior Notes are being offered only to persons reasonably believed to be qualified institutional buyers in reliance upon Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and non-U.S. persons in transactions outside the United States in reliance upon Regulation S under the Securities Act.
The Senior Notes have not been registered under the Securities Act or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws.
