Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of Square 1 Financial, Inc. (“Square 1” or the “Company”) (NASDAQ GS: SQBK) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by PacWest Bancorp (“PacWest”) (NASDAQ GS: PACW), in a transaction valued at approximately $849 million.

Under the terms of the agreement, shareholders of Square 1 will receive 0.5997 shares of PacWest common stock for each share of Square 1. Based on PacWest’s closing price on February 27, 2015, Square 1 shareholders would have received compensation valued at approximately $27.49 per share.
The investigation concerns whether Square 1’s board of directors failed to adequately shop the Company and obtain the best possible value for Square 1’s shareholders before entering into an agreement with PacWest.
If you own the common stock of Square 1 and purchased your shares before March 2, 2015, if you have information or would like to learn more about these claims, or if you wish to discuss these matters or have any questions concerning this announcement or your rights or interests with respect to these matters, please contact Seth D.
