Artisan Partners Asset Management Inc. Announces Offering of Common Stock

MILWAUKEE--()--Artisan Partners Asset Management Inc. (NYSE: APAM) (the “Company” or “Artisan Partners”) is announcing today that it has agreed to sell 3,831,550 shares of the Company’s Class A common stock (representing approximately 5.2% of the Company’s outstanding equity) in an underwritten public offering. The Company intends to use all of the net proceeds of the offering to purchase 3,831,550 common units of Artisan Partners Holdings LP, the Company’s direct subsidiary, from certain limited partners of Artisan Partners Holdings. The limited partners who are selling common units include certain of the Company’s officers and employees and Artisan Investment Corporation, an entity controlled by the Chairman of the Company’s board of directors. The completion of this transaction will increase the Company’s public float of Class A common stock by 3,831,550 shares.

Citigroup is acting as the sole underwriter for the offering.

Citigroup may offer the shares of Class A common stock from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the-counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices, subject to its right to reject any order in whole or in part.
