Under the terms of the agreement, public shareholders of NBTF would receive 0.9319 shares of Peoples and $7.75 in cash for each share of NBTF they own. Based on Peoples’ closing stock price on August 1, 2014, NBTF shareholders would have received consideration valued at approximately $29.65 per share.
The investigation concerns whether NBTF’s board of directors failed to adequately shop the Company and obtain the best possible value for NBTF’s shareholders before entering into an agreement with Peoples.
