(the “Selling Shareholder”) of 20,000,000 shares of its common stock at a price per share to the public of $47.20 pursuant to the Company’s shelf registration statement filed with the Securities and Exchange Commission. In addition, the Selling Shareholder has granted the underwriter of the offering an option to purchase an additional 3,000,000 shares. The shares sold by the Selling Shareholder are attributable to affiliates of The Blackstone Group, The Carlyle Group, Thomas H. Lee Partners, Hellman & Friedman and AlpInvest Partners. The last reported sale price of the Company’s common stock on June 2, 2014 was $47.92 per share.
