(NYSE: EVHC) (the “Company”) today announced that Goldman, Sachs & Co., Barclays Capital Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, book-running managers in the Company’s initial public offering in August 2013, are waiving certain lock-up restrictions with respect to shares of the Company’s common stock held by certain investment funds sponsored by, or affiliated with, Clayton, Dubilier & Rice, LLC (the “CD&R Affiliates”) and certain officers and directors of the Company. The waiver will take effect on February 5, 2014 and will permit the offer and sale of shares by the CD&R Affiliates and such officers and directors only in the Company’s previously announced secondary offering of common stock. Subject to the terms of such waiver, the lock-up restrictions will otherwise remain in full force and effect.
