HOUSTON--(BUSINESS WIRE)--Cobalt International Energy, Inc. (“Cobalt”) (NYSE:CIE) today announced that, in connection with its previously announced registered underwritten public offering of $1,200,000,000 aggregate principal amount of 2.625% convertible senior notes due 2019 (the “Notes”), the underwriters of the offering have exercised in full their over-allotment option to purchase an additional $180,000,000 aggregate principal amount of Notes, bringing total gross proceeds from this offering of Notes to $1,380,000,000.
Cobalt expects to close the offering of the Notes (including the additional Notes) on December 17, 2012, subject to satisfaction of customary closing conditions.
Cobalt intends to use the net proceeds from the sale of the Notes to fund its capital expenditures and for general corporate purposes.
Morgan Stanley & Co. LLC and Goldman, Sachs & Co. are acting as the underwriters of the offering.
