NEW YORK--()--Fitch Ratings assigns the following ratings to the puttable floating option tax-exempts receipts (P-FLOATs) of the Merrill Lynch P-FLOATs series MT Trust BOA listed below:

--Series MT-698 P-FLOATs--'AA/F1', Positive Outlook;

--Series MT-699 P-FLOATs--'AAA/F1', Negative Outlook;

--Series MT-738 P-FLOATs--'AA+/F1', Stable Outlook;

--Series MT-742 P-FLOATs--'AA+/F1', Stable Outlook;

--Series MT-772 P-FLOATs--'AA/F1', Stable Outlook;

--Series MT-784 P-FLOATs--'AAA/F1', Stable Outlook.

The long-term 'AA', Positive Outlook rating assigned to the series MT-698 P-FLOATs is based on the rating that Fitch has assigned to the New York State Thruway Authority state personal income tax revenue bonds (Transportation), series 2006A (rated 'AA', Positive Outlook) that have been deposited in the MT-698 series trust.

The long-term 'AAA', Negative Outlook rating assigned to the series MT-699 P-FLOATs is based on the rating that Fitch has assigned to the Indiana Housing and Community Development Authority single family mortgage revenue bonds, 2006 series D-1 (rated 'AAA', Negative Outlook) that have been deposited in the MT-699 series trust.

The long-term 'AA+', Positive Outlook rating assigned to the series MT-738 P-FLOATs is based on the rating that Fitch has assigned to The Regents of the University of California general revenue bonds, 2008 series L (rated 'AA+', Stable Outlook) that have been deposited in the MT-738 series trust.

The long-term 'AA+', Positive Outlook rating assigned to the series MT-742 P-FLOATs is based on the rating that Fitch has assigned to the City of San Antonio, Texas electric and gas systems revenue bonds, new series 2006A (rated 'AA+', Stable Outlook) that have been deposited in the MT-742 series trust.

The long-term 'AA', Stable Outlook rating assigned to the series MT-772 P-FLOATs is based on the rating that Fitch has assigned to the State Public Works Board of the State of California lease revenue bonds, 2005 series D (rated 'AA', Stable Outlook) that have been deposited in the MT-772 series trust.

The long-term 'AAA', Stable Outlook rating assigned to the series MT-784 P-FLOATs is based on the rating that Fitch has assigned to the Texas Transportation Commission State of Texas general obligation mobility fund bonds, series 2006 (rated 'AAA', Stable Outlook) that have been deposited in the MT-784 series trust.

The 'F1' Rating Watch Negative short-term rating assigned to each P-FLOATs series is based on the liquidity facility for each series provided by Bank of America, National Association (rated 'A/F1', Stable Outlook). The short-term rating assigned to the series MT-698 and MT-699 P-FLOATs will expire on Aug. 15, 2012 and the short-term rating assigned to the series MT-738, MT-742, MT-772 and MT-784 P-FLOATs will expire on Sept. 15, 2012 unless each date is extended or earlier terminated.
